What is the information in the Memorandum of Association?

The Memorandum of Association consists of 2 pages documents, which contain important information of the business as follows:

Page 1 – Details of the Business

Company name according to the form for reservation of juristic person in both Thai and English.
Province in which the company’s office is located.
Objectives of the company according to the form W. or the details of the objectives form.
Registered share capital
Company registered capital.
Details of the promoter which the law requires to consist of at least 3 persons, including name, age, telephone number, National ID card number or other card, address, occupation and number of shares held.

Page 2 – Name of the witness.

Attestation of the signatures of 2 witnesses and their details including name, age, telephone number, National ID card number or other card number and address.
Paste the stamp duty of 200 baht.

Where to get the Memorandum of Association?

An entrepreneur who need to register a company can register a memorandum of association with the registrar within 30 days from the date the registrar allows to reserve the name of the juristic person. This can be done in two ways:

Business Development Offices and all branch offices.
Department of Business Development website www.dbd.go.th

However, when the memorandum of association registration is completed but the entrepreneur has not registered the company as specified in the Memorandum of Association within 10 years, it shall be deemed that such Memorandum of Association has expired under the law and in case of registration a new company, the entrepreneur must register the memorandum again.
